Member Terms & Agreement

1. Right to Sell
The member agrees to leave Member items in an assigned space at Alakoko to display and sell according to the terms and conditions of this agreement.
The Member owns the right and title to the items and therefore is responsible for the GE tax and liability insurance of these items.
 
2. Compliance
Member affirms they are in good legal standing and are responsible for providing Alakoko with valid GE tax license or tax clearance upon request along with any necessary permits from the State Department of Health complying with regulations related to the sampling, production, labeling, and/or safety of product(s) offered for sale.
 

3. Prices and Discounts
The price at which Alakoko may sell the Member items shall be determined and agreed upon by written consent.

Alakoko shall be entitled to discount an item up to; but not more than 15% in efforts of promotion and/or marketing.

The member will receive 100% of the Member item checkout price, which does not include the added service fee passed on to the customer.
(Example: $25 member item + 5% Alakoko Service Fee = $26.25 paid by customer. Member receives $25)

 

 

4. Damage, Loss, Theft
Alakoko has high efforts in the security and care of Member items. Also note as normal retail operations go things will be handled and tried on. Due to items being owned by the Member, Alakoko insurance does not cover damage, loss, or theft of Member items. Alakoko will in no way be held responsible for damage, loss, or theft. We recommend Members purchasing a general liability insurance and adding Alakoko as additionally insured.

5. Inventory
The Member agrees to periodically check physical inventory levels. Member will receive monthly reports on system inventory levels and sales. Alakoko will do it's best to provide courtesy calls if an item stock is low but the responsibility to keep stock levels full is that of the Member.
Member must make arrangements to drop-off items or remove items. Anyone showing up without prior arrangements could be asked to come back at a scheduled time.

 

 

6. Membership Fees
Member agrees to pay monthly membership fees to subscribe to Alakoko and benefit from retail services including but not limited to designated space to sell, checkout services, shop management, e-commerce, marketing, community tools, classes, events, and workshops.
Membership fees are non-refundable and due in full on the 1st and no later than 4pm on the 5th of each calendar month. Any partial month memberships will be pro-rated.
All members are required to fill out a credit card authorization form. If Member denies authorization they are subject to paying a full non-refundable 4-month payment upfront or 1-month deposit.
Member understands that online auto-pay is the preferred default payment method. Payments by check must be communicated in advance to avoid payments charged to CC on file. Checks will be made payable to "Alakoko" and dropped off at the Alakoko Shop or mailed to:

Members agree to a starting term of 4 months. After the 4 months have been serviced a member will than be on a month-to-month auto-renew agreement.

 

 

7. Member Cancellation
Member must give written request to terminate 14 days prior to renewal (1st of the month).
If a member chooses to terminate before the end of the required starting 4 month term or 13 days prior to renewal the member must request termination in writing and is subject to a $100 termination fee. All items not sold will need to be picked up 14 days from termination date, unless otherwise agreed upon. Any items left after 14 days will become the property of Alakoko.

 

 

8. Late Fees
Members agree to pay $15 late fee if payment is received after 4pm on the 5th of the month. If delinquent payment exceeds 5 days another $20 delinquent fee will be added. Chronic delinquent payments can result in termination or possession of Member sales or items.

 

 

9. Member Space
Members will receive a designated space in accordance to their membership package. Members will have the opportunity to request a space to occupy but understands their space is subject to move.

 

 

10. Support of Alakoko Objectives & Cooperative Behavior
Member understands Alakoko is a non-profit and that member fees and donations go directly to support its operations, development, and upgrades that service its members. Member agrees to participate in a manner that supports the successful functioning of cooperative operations and governance that contributes to the general well being of members of Alakoko. Cooperative behavior embodies individual responsibility, sustainability, cooperation, diversity, community, unity, and stewardship.

 

11. Right to Terminate
Alakoko reserves the right to terminate this agreement at any time upon a (3) day written notice. Financial obligations to Alakoko will be settled on a pro-rated basis. Services will be terminated immediately, upon discontinuation of agreement. All items not sold will need to be picked up 14 days from termination date, unless otherwise agreed upon. Any items left after 14 days will become the property of Alakoko.

 
12. Property Maintenance
Any alterations to physical space provided by Alakoko must be requested and approved in writing. Member is liable for all repair, maintenance, and cleaning costs incurred for services or supplies to return space to as good a condition as received them (normal wear and tear excepted).
 
13. Use of Logo, Photos, and Given or Public Content
Member authorizes the use of its name, logo and/or trademark, photos, and given or public content without notice to or consent in connection with promotional materials that Alakoko may disseminate to the public. The promotional materials may include, but are not limited to brochures, banners, in store videos, internet website, social media, press releases, advertising in newspaper, radio, etc.
 
14. Indemnification
Member shall indemnify, defend, and hold and save Alakoko, and their respective officers, directors, agents and employees (together, the "Indemnified Parties"), harmless from any and all claims, suits, demands, debts, undertakings or proceedings of any kind or nature, whether meritorious or frivolous, in any way arising out of the Member's use of the space, including liability caused in whole or in part by the Indemnified Parties. Member shall, at his/her own expense, appear, defend, and pay all attorneys' fees and all costs and other expenses arising therefrom or incurred in connection therewith; and, if any judgment shall be rendered against the Indemnified Parties in any such action, Vendor shall, at his/her own expense, satisfy and discharge same.
